FUTURE SOUNDS WITH DOLBY ON CONTEST OFFICIAL RULES

THIS CONTEST IS INTENDED FOR PARTICIPATION IN THE UNITED STATES ONLY, AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO NEW YORK STATE LAW. ONLY ENTER THIS CONTEST IF YOU ARE LOCATED IN AN ELIGIBLE COUNTRY AT THE TIME OF ENTRY.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID IN WHERE PROHIBITED BY LAW.

BY ENTERING, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF SPONSOR AND THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

ELIGIBILITY: The Future Sounds With Dolby On contest (the “Contest”) is open to legal U.S. residents and 13 or older. An eligible minor must have a parent’s or legal guardian’s permission to participate. Employees of SoundCloud Inc. (“SoundCloud”) and Dolby Laboratories, Inc. (“Sponsor” or “Dolby”), and their parent, subsidiaries, affiliates and advertising and promotion agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws. By participating, each entrant (and, if an eligible minor, his/her parent or legal guardian) agrees to abide by these Official Rules and decisions of SoundCloud, Sponsor and judges, which shall be final and binding in all respects relating to this Contest.

HOW TO ENTER: Record yourself (“Entrant”) performing a song that has original lyrics and is an original composition and melody (“Song”). All components (including, without limitation, the lyric, composition and recorded performance of the Song) included with entry shall collectively be referred to as “Entry”.” Entry must be wholly original to Entrant and owned entirely by Entrant.

Then, between 10am ET on October 30, 2019 and 11:59pm ET on December 31, 2019 (“Entry Period”), upload the Entry to SoundCloud with the following hashtag, #SCxDolbyOn. Limit one (1) Entry per Entrant for the entire Contest. Multiple Entries from any Entrant will be void. If Entrant does not have a SoundCloud account, establishing an account is free. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the SoundCloud account used to enter will be deemed to be the Entrant. All applicable SoundCloud terms apply, including without limitation the SoundCloud terms of use.

Sponsor and/or SoundCloud reserves the right to allow for minor deviations from the guidelines and restrictions set forth herein, based on clear intent to comply with these Official Rules, as determined by Sponsor and/or SoundCloud in their sole discretion. All Entries become the sole property of the Sponsor and/or SoundCloud will not be returned.

CONTENT RESTRICTIONS: Entry must not contain, as determined by Sponsor and/or SoundCloud in its sole discretion, any content that:

is sexually explicit or suggestive, violent or derogatory, lewd, profane or pornographic;
promotes alcohol, illegal drugs, tobacco, firearms/weapons (or use of any of the foregoing);
promotes any activities that are unsafe or dangerous;
promotes any particular political agenda or message;
is obscene or offensive;
endorses or promotes any form of hate, hate speech, or hate group;
defames, misrepresents or contains disparaging remarks about Sponsor and/or SoundCloud, its products or services, or other people or companies;
contains materials embodying the names, likenesses, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
uses any third party names, trademarks, logos, or other commercial indication that identifies a brand;
uses any copyrighted material unless owned by the Entrant;
uses third party music, lyrics or other content, materials or assets;
communicates messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and/or
violates any law or regulation.

By submitting an Entry, Entrant (and, if an eligible minor, his/her parent or legal guardian) represents and warrants that the Entry conforms to these Official Rules and understands that Sponsor and/or SoundCloud, in its sole discretion, may disqualify the Entry for any reason, including if it determines, in its sole discretion, that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor and/or SoundCloud, in its sole discretion.

Automated, script, macro or robotic Entries submitted by individuals will be disqualified. Any Entry not in compliance with the above or which does not otherwise meet the requirements of these Official Rules will be disqualified. Any Entry which is determined to contain, or potentially contain, infringing content (either by judges own expertise or by SoundCloud’s content recognition systems, and whether or not it would be proved against Entrant as infringing in a court of law), may be disqualified by Sponsor and/or SoundCloud, in such parties discretion.

SONG REPRESENTATIONS AND WARRANTIES: Entrant (and, if an eligible minor, his/her parent or legal guardian) hereby represent and warrant that: (a) subject to any assignments and grant of rights herein, Entrant owns and/or controls 100% of the copyright in the lyrics and composition of the Song, and the sole and unencumbered right to grant the rights granted to Sponsor and/or SoundCloud under this Contest; (b) the Song is completely original and will not violate, conflict with, or infringe upon any rights of any nature whatsoever of any entity or individual, or cause Sponsor and/or SoundCloud to incur any fees; (c) no assignment has been or will be made of any of the rights to the Song; (d) Entrant is not under any recording or publishing agreement or a member of any union having jurisdiction (if any) over the creation, recording or use of the Song, including, without limitation, music publishers; and (e) Entrant agrees to execute any and all documents necessary to grant the rights to the Song set forth in these Official Rules.

USE OF ENTRIES /PUBLICITY GRANT: Entrant will own all rights in and to the Song; however, by submitting an Entry, Entrant (and, if an eligible minor, Entrant’s parent or legal guardian) hereby grants to Sponsor and SoundCloud and its designees, successors and assigns a nonexclusive license to edit, modify, reproduce, distribute, display, publicly perform, create derivative works based upon, or otherwise exploit the Entry (including the Song or any other musical composition embedded therein), together or separate from Entrant’s name, city and state of residence, image or likeness, voice and/or performance, in any manner or media now known or hereafter devised throughout the world in perpetuity, for all legal purposes, including commercial, advertising, promotional and other purposes, without further compensation, notification or permission. Entrant agrees that Released Parties (as defined below) are not responsible for any unauthorized use of any Entry by third parties. Sponsor has no obligation to make use of the rights granted herein.

WINNER DETERMINATION: Two (2) winners (each a “Winner”) will be selected every two weeks from all eligible Entries until the end of the Contest. Each eligible Entry will be judged by a panel of judges, selected by Sponsor and/or SoundCloud, on the following criteria, with each criterion being weighted equally: Voice Quality, Production Quality, Song Appeal, and Marketability (“Judging Criteria”), to determine the potential winners. In the event of a tie, an additional, “tie-breaking” judge selected by Sponsor and/or SoundCloud will determine the winner(s) based on the Judging Criteria. Sponsor and/or SoundCloud reserves the right to not award prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. All decisions of Sponsor, SoundCloud and judges are final and binding on all matters related to the Contest. Sponsor and/or SoundCloud will not reveal the judging scores for any Entry.

WINNER NOTIFICATION: Potential winners (and, if eligible minors, their parents or legal guardians) will be notified by telephone, mail and/or email and required to execute an Affidavit of Eligibility and a Liability and Publicity Release (unless prohibited by law), which must be returned within five (5) days of date appearing on winner notification. In addition, Sponsor and/or SoundCloud reserves the right to conduct a background check of any criminal or civil records of potential winner and disqualify the potential winner based on the results of the background check. To the extent necessary and as permitted by law, the potential winner shall each authorize such a background check. Return of any notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor and/or SoundCloud to contact the potential winner within a reasonable time period, the failure of the potential winner to agree to a background check (if applicable) and/or pass a background check, as determined by Sponsor and/or SoundCloud in its sole discretion (if applicable), or noncompliance with these Official Rules by the potential winner may result in disqualification and, at Sponsor’s and/or SoundCloud’s sole discretion, a runner-up may be selected and notified.

PRIZES: Each Winner will have their winning Entry (“Final Track”) featured in the “Future Sounds with Dolby” playlist on SoundCloud for the duration of the Contest and also receive one (1) mention and/or shoutout in SoundCloud’s official Instagram TV channel (ARV: $500 total). In addition, the Final Track may be used in marketing materials produced to promote SoundCloud. Prizes cannot be redeemed for cash. Winners may not substitute, assign or transfer a prize, but Sponsor and/or SoundCloud reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater promotional value. All federal, state and local taxes, if any, as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the Winners. All prize details, including where the Winner’s Final Track is featured the playlist, are at Sponsor’s and/or SoundCloud’s sole discretion.

FINAL TRACK REPRESENTATIONS AND WARRANTIES: Each Winner (and, if eligible minors, their parent or legal guardian) will be required to, and hereby does, represent and warrant that: (a) subject to any assignments and grant of rights herein, Winners own and/or control 100% of the copyright in the lyrics and composition of the Final Track, and the sole and unencumbered right to grant the rights granted to Sponsor andSoundCloud under this Contest; (b) the Final Track is completely original and will not violate, conflict with, or infringe upon any rights of any nature whatsoever of any entity or individual, or cause Sponsor or SoundCloud to incur any fees; (c) no assignment has been or will be made of any of the rights to the Final Track; and (d) each Winner agrees to execute any and all documents necessary to grant the rights to the Song set forth in these Official Rules.

RIGHTS TO FINAL TRACK: Winners will own all rights in and to the Final Track; however, each Winner (and, if an eligible minor, his/her parent or legal guardian) understands that Sponsor and SoundCloud and its designees, successors and assigns shall have a nonexclusive license to edit, modify, reproduce, distribute, display, publicly perform, create derivative works based upon, or otherwise exploit the Final Track, together or separate from each Winner’s name, city and state of residence, image or likeness, and/or voice, in any manner or media now known or hereafter devised throughout the world in perpetuity, for all legal purposes, including commercial, advertising, promotional and other purposes, without further compensation, notification or permission. Winners (and, if eligible minors, their parent or legal guardian) agree that Released Parties are not responsible for any unauthorized use of Final Track by third parties. Neither Sponsor nor SoundCloud has any obligation to make use of the rights granted herein.

RELEASE OF LIABILITY: By participating, each Entrant (and, if an eligible minor, his/her parent or legal guardian) agree to release, indemnify, discharge and hold harmless Sponsor and SoundCloud, and their parent, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing as well as any individuals involved in any aspect of any renovation, including, without limitation, contractors, workers and suppliers (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity, the acceptance, possession, use or misuse of a prize and/or Sponsor’s or SoundCloud’s use of the rights granted herein.

GENERAL CONDITIONS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, email or mail; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prizes, the functionality of the recording booth or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or any website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor and/or SoundCloud, will be disqualified and all associated Entries will be void. Unclaimed prizes may not be awarded. Should any portion of the Contest be, in Sponsor and/or SoundCloud’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor and/or SoundCloud reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above or as otherwise deemed fair and appropriate by Sponsor and/or SoundCloud. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND SOUNDCLOUD RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

PRIVACY: Submission of any content or information on SoundCloud is subject to the SoundCloud posted policies, including the SoundCloud privacy policy. Any personal information submitted to SoundCloud that is shared with Sponsor will be used by Sponsor in accordance with Sponsor’s privacy policy.
