Sound Bites Terms & Conditions
These terms and conditions apply to the series of one or more competition(s) promoted by SoundCloud under the name “Sound Bites” (the “Competition”), which competition(s) is/are announced, featured and/or promoted from time to time as blog post(s) on blog.soundcloud.com (the “Blog Post(s)”)
Unless otherwise specified in the Blog Post(s), the promoter of the Competition is SoundCloud Limited of Rosenthaler Strasse 13, 10119 Berlin, Germany (“SoundCloud”, “we”, “our”, “us”).
By taking part in any Competition, you agree to be bound by these terms and conditions, together with any other rules, terms or conditions specified in any Blog Post(s) (together, the “Rules”), and by the decisions of SoundCloud which are final in all matters relating to the Competition.
You may enter the Competition if you are a registered user of the SoundCloud platform, are aged 18 or over on the Closing Date (as defined below), and are resident in a country where the promotion of the Competition according to these Rules is lawful. No Competition is being promoted in any country where it would be unlawful to do so, or where these Rules, or the administration of the Competition in accordance with these Rules, does not meet local legal requirements.
You may not enter the Competition if you or any member of your family is an employee of SoundCloud. Similarly, if the Competition is sponsored by a third party, or includes any prize provided by a third party (as identified in the relevant Blog Post(s)), you may not enter the Competition if you or any member of your family is an employee of that third party.
In order to enter the Competition(s), you are required to create an original audio track (“Track”) to accompany the visual image(s) identified by SoundCloud in the relevant Blog Post(s) (“Images”), and to upload such Track to the Group page identified by SoundCloud in the relevant Blog Post.
All Tracks shall be subject to the same Terms of Use and Community Guidelines as apply to any other content on the SoundCloud platform. By entering the Competition, you represent and warrant to SoundCloud that (i) any Track that you upload (including all parts thereof) is original to you, or if you are not the exclusive owner, you have received any and all third party rights, consents or permissions necessary to make the Track available on the SoundCloud platform, (ii) any hosting and making available of your Track by SoundCloud on your behalf will not infringe any third party intellectual property rights, and (iii) your Track does not and will not contain anything defamatory, offensive or illegal.
All Tracks must be uploaded prior to the closing date specified in the relevant Blog Post (“Closing Date”). Any Track uploaded after the Closing Date will not be eligible for the Competition. No responsibility can be accepted for entries that are lost, delayed or corrupted during the upload process unless this is due to obvious human error on the part of SoundCloud.
You can submit as many Tracks as you wish, but no more than one Track from any single entrant shall be selected as a winning entry or as runner(s) up.
Unless otherwise specified, SoundCloud will select one winner and two runners-up, being those Tracks that the judges believe, in their sole and absolute discretion, best reflect the mood of, or best illustrate, the Images.
The winning entry(s) will be selected by a panel of at least two (2) judges, one (1) of whom shall be independent. The full name of the independent judge can be obtained by writing to SoundCloud at the address specified above, identifying the name of the Competition, within thirty (30) days of the Closing Date. The decision of the judging panel shall be final and no correspondence shall be entered into.
If you are selected as a winner or as a runner up, you will be contacted via a message to your SoundCloud account within fifteen (15) days of the Closing Date. If you do not acknowledge such notification within five (5) days, SoundCloud reserves the right to select an alternative winner.
If you are selected as a winner or as a runner up, your SoundCloud username, together with your winning Track, will be announced in a post at blog.soundcloud.com within thirty (30) days of the Closing Date. The SoundCloud usernames of the winner and any runners up can also be obtained by writing to SoundCloud at the address specified above, identifying the name of the Competition, within thirty (30) days of the Closing Date. SoundCloud will only publish your SoundCloud username, and will not publish your real name unless you give us permission to do so.
Any prizes relevant to any Competition shall be specified in the relevant Blog Post(s) for that Competition. Unless otherwise specified, any prizes will distributed to winners and (if applicable) runners up, within 30 days of the Closing Date.
Where any prize includes a SoundCloud premium account, such account is provided subject to SoundCloud’s Terms of Use, Privacy Policy, Community Guidelines and any other terms from time to time in force. Where any prize includes any goods or services provided by any third party, you acknowledge and agree that SoundCloud shall not have any liability in connection with any acceptance or use of those goods or services (other than any liability for personal injury or death resulting from the negligence of SoundCloud or anything else that cannot be excluded or limited by law).
If any of the Rules are deemed to be illegal, invalid or otherwise unenforceable under any applicable law, the affected Rules shall be deleted but the remaining Rules shall continue in full force and effect.
The Rules are governed by the laws of England & Wales, and the courts of England shall have exclusive jurisdiction in relation to any disputes.
